Made in Evolve S.r.l. (the Company) is an eCommerce Innovation Agency founded in 2008 in Modena, a Shopify Plus agency and system integrator for fashion and lifestyle brands. This Code sets out the principles and rules of conduct that the Company undertakes to respect and requires of those who act on its behalf. It is adopted by the administrative body and applies to directors, employees, contractors, interns and, insofar as compatible, to suppliers and partners (the Addressees). The Code refers to Law 190/2012 and Legislative Decree 231/2001 as reference frameworks for the prevention of corruption and corporate offences, without constituting an organisation and management model under the latter decree.
Addressees comply with the laws and regulations applicable in every country in which the Company operates. It is forbidden to offer, promise, give, request or accept, directly or through third parties, money or other benefits in order to obtain an undue advantage in dealings with public officials, persons entrusted with a public service, clients, suppliers or competitors. The prohibition includes corruption between private parties (Article 2635 of the Italian Civil Code), facilitation payments and sponsorships or donations used as a cover. The Company keeps accurate and complete accounts: no transaction is recorded in a false or misleading manner and no off-the-books funds are created. Dealings with the public administration, including tenders and grants, are handled by authorised persons and documented. The Company complies with tax law and cooperates with the authorities in the event of audits.
A conflict of interest exists when a personal, family or economic interest of an Addressee may interfere with the interest of the Company or its clients. Addressees avoid conflicts and, where this is not possible, declare them in writing to their manager before taking decisions. In any case, shareholdings or positions in clients, suppliers or competitors, family or affective relationships with persons at commercial counterparties and external activities that take time or information away from the Company must be declared. The person in conflict abstains from the decision and the Company documents how the case is handled.
Gifts, invitations and hospitality may be offered or accepted only if of modest value, not in cash or equivalents, occasional, consistent with business customs and such as not to influence, or appear capable of influencing, a decision. They are not permitted during a negotiation, a tender or a supplier selection, nor towards public officials. Gifts exceeding modest value are refused or, where refusal is impossible, handed over to the Company, which allocates them to collective or charitable purposes. The Company’s hospitality expenses are documented and approved by the manager.
The Company competes on the quality of its services. Addressees do not enter into agreements with competitors on prices, allocation of clients or markets, do not exchange commercially sensitive information and do not abuse any position of strength, in compliance with Law 287/1990 and Articles 101 and 102 TFEU. They do not spread false or disparaging information about competitors nor acquire others’ confidential information by improper means. Commercial communications are truthful and the results presented to clients are measurable and verifiable.
Addressees protect the confidential information of the Company and its clients: strategies, commercial and sales data, credentials, source code, configurations, roadmaps, end-customer data. Information is used only for work purposes, shared on a need-to-know basis and not disclosed even after the end of the relationship, consistently with Article 2105 of the Italian Civil Code and the confidentiality agreements signed. The Company respects the intellectual property of others, including software, open source licences, fonts and images, under Law 633/1941 and Legislative Decree 30/2005. The results of the work are attributed according to the contracts; clients’ code, designs and materials remain at their disposal and are not reused for other clients without authorisation. Nucleo Platform and its components are the property of the Company.
The Company processes the personal data of clients, end users, candidates and staff in compliance with Regulation (EU) 2016/679 (GDPR) and Legislative Decree 196/2003 as amended by Legislative Decree 101/2018, according to the principles of minimisation, purpose limitation and security. Each Addressee processes data only if authorised and instructed, uses only approved tools, does not export client data to personal devices or services and reports without delay to privacy@madeinevolve.com any breach, including suspected ones. When operating on clients’ platforms (Shopify, Klaviyo, ERP and integrated systems) the Company acts as a data processor under the agreements signed. Security measures are aligned with the principles of ISO/IEC 27001, without this constituting a certification. The Company uses generative artificial intelligence tools (OpenAI, Anthropic, Google Gemini, Microsoft Copilot) to support texts, code, analysis and images, and integrates AI functions into Nucleo Platform with the Atomo assistant. Addressees use AI in compliance with Regulation (EU) 2024/1689 (AI Act) and the AI policy: human oversight of every output, no personal or confidential client data in prompts unless necessary and only on plans that exclude model training, transparency towards clients and the public on generated content, respect for copyright, no solely automated decisions with legal effects on persons.
The Company respects the human rights recognised by international conventions and the fundamental ILO conventions and rejects any form of forced, child or irregular labour, including in its supply chain. It guarantees equal opportunities in selection, pay, training and career, without discrimination on grounds of gender, age, origin, nationality, religion, opinions, sexual orientation, disability or personal condition, in accordance with Legislative Decree 198/2006 and Legislative Decrees 215/2003 and 216/2003. Harassment, mobbing or conduct harmful to dignity are not tolerated. Employment relationships are governed by the applicable collective agreements and by law, respecting the right to rest and to disconnect.
The Company protects the health and safety of people in the workplace, including remote work and business travel, in accordance with Legislative Decree 81/2008: risk assessment, training, health surveillance where required, adequate equipment, attention to ergonomic risks and work-related stress. Each Addressee takes care of their own safety and that of others, follows instructions and reports dangerous situations. Working under the influence of alcohol or drugs is forbidden.
The Company reduces the environmental impact of its activities: it prefers digital to paper, limits unnecessary travel by favouring remote meetings, manages electronic waste correctly and extends the life of devices. In design and development it applies principles of digital sustainability: efficient websites and platforms, lightweight pages and assets, hosting in European data centres, periodic clean-up of unnecessary data. It adheres to the accessibility principles of Directive (EU) 2019/882 and Legislative Decree 82/2022, with reference to WCAG 2.2 level AA.
External communications on behalf of the Company are issued only by authorised persons. On social media, Addressees, when speaking about work-related topics, make clear that they express personal opinions, do not disclose confidential information of the Company or its clients, do not publish content on projects not yet announced and do not use clients’ logos or materials without authorisation. Content published by the Company respects the people portrayed, who have given their consent, and indicates when images are generated or modified with AI.
Anyone who becomes aware of a breach of the Code, of a legal provision or of unlawful conduct is invited to report it to their manager or through the confidential channel help@madeinevolve.com, managed by a designated and autonomous person in accordance with the Whistleblowing Policy, adopted pursuant to Legislative Decree 24/2023. The Company guarantees the confidentiality of the reporting person and prohibits any retaliation.
Compliance with the Code is an integral part of the contractual obligations of the Addressees. Breaches by employees constitute a disciplinary offence, sanctioned in compliance with Article 7 of the Workers’ Statute and the applicable collective agreement, in proportion to their seriousness and up to dismissal. Breaches by directors are assessed by the shareholders’ meeting. Breaches by contractors, suppliers and partners may result in suspension or termination of the contract and compensation for damages. The civil and criminal liability of the persons involved remains unaffected.
Suppliers, subcontractors, consultants and partners undertake, upon acceptance of the order or signature of the contract, to:

The Company may request information and documentation to verify compliance with these commitments and suspend or terminate the relationship in the event of serious or repeated breaches.
